1. Introduction, Ownership, and Acceptance

Welcome to AlPrice (“the Platform,” “we,” “us,” or “our”), a brand and product of Mukunda Software Inc., with its registered office in New Delhi, India.

The Platform is a dedicated online informational service designed to bring transparency and direct connection to the aluminum industry in India by facilitating the exchange of reference price data and supplier listings.

These Terms and Conditions of Use (“Terms”) govern your access to and utilization of the AlPrice website and its services. By accessing, browsing, registering for an account, or using any feature of the Platform, you acknowledge that you have read, understood, and unequivocally agree to be bound by these Terms.

If you do not agree to these Terms and Conditions in their entirety, you must immediately discontinue all use of the Platform. Your continued use constitutes your binding acceptance of these Terms.

2. Platform Purpose and Scope

AlPrice is solely an informational listing platform focused on facilitating direct communication between aluminum buyers and suppliers.

We are explicitly NOT:

  • A trading company, direct seller, or e-commerce marketplace.
  • A brokerage service, agent, or intermediary in any trade or negotiation.
  • A provider of an integrated payment gateway. All financial transactions between users and the Platform (for memberships) and between users (for trade) are conducted independently.
  • A guarantor of any listed price, product quality, or supplier reliability.

3. Account Registration, Approval, and Eligibility

3.1 Eligibility

You must be at least 18 years old and possess the legal capacity to enter into a binding contract. If you are acting on behalf of a corporate entity (e.g., a supplier or trader), you warrant that you have the full legal authority to bind that entity to these Terms.

3.2 Account Creation and Approval

All prospective supplier accounts require manual approval by the Platform:

  1. Registration: Users register an account by providing required business details.
  2. Trial Period: Upon successful verification and approval, the account is activated under the Basic Plan, which includes a 90-day trial period.
  3. Basic Account Access: During the trial, you may list products and prices subject to the limitations of the Basic Plan and these Terms.
  4. Discretionary Approval: We reserve the right, in our sole and absolute discretion, to deny, suspend, or terminate any account registration without stating a reason.

3.3 Account Security and Integrity

You are solely responsible for maintaining the confidentiality of your account credentials (login, password) and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

4. Listing, Pricing, and Product Control

4.1 Content Integrity

All product listings, prices, specifications, and business information submitted to the Platform must be accurate, verifiable, and current. You agree not to post misleading, fraudulent, or unlawful content.

4.2 Product Control

Suppliers maintain control over the visibility of their products and services:

  • You may enable or disable product listings at any time through your account interface.
  • Disabling a product will remove it from public view but does not delete the underlying data.

4.3 Price Data Disclaimer

All price data is purely indicative and provided for reference only. Prices are user-submitted, and the Platform does not guarantee their accuracy, completeness, or finality. Actual prices are subject to market factors, quantity, grade, region, and supplier negotiation. AlPrice bears no liability for any reliance placed on listed prices.

5. Membership and Manual Payment Process

The Platform utilizes a manual, off-platform payment system for Premium Services, including upgraded membership tiers (Silver, Gold) and campaign credits.

5.1 Plan Upgrade Request

A registered user may request an upgrade from the Basic Plan to a Silver or Gold Membership using the account interface.

5.2 Manual Payment Process (No Gateway)

Upon receiving an upgrade request, the Platform will issue a manual request for payment by sending the customer a Payment link and/or GPay/UPI QR Code.

  • Payment Responsibility: You are responsible for executing the payment via your chosen method (e.g., direct bank transfer, GPay, UPI).
  • Approval: The requested membership upgrade or campaign credit purchase will only be approved and activated after Mukunda Software Inc. has received and verified the full payment.
  • Membership Term: Once approved, the account validation will be added (e.g., 1 year) according to the purchased plan.

5.3 Premium Services and Campaigns

Purchasing a premium membership or campaign credits provides access to enhanced features, increased limits, and promotional placement (such as the “Featured” designation or ad impressions).

  • Campaign Credits: Campaigns are run using pre-purchased impression credits. These credits are consumed according to the campaign’s performance and the specific plan selected.
  • No Refund Policy: Due to the manual nature of the payment verification and service activation, and the immediate deployment of visibility features and digital credits, all payments for memberships and campaign credits are non-refundable unless otherwise specified in writing by AlPrice. No refunds will be granted for early cancellation, partial use, or account suspension due to a violation of these Terms.

6. Prohibited Activities

In addition to general rules of conduct, you are strictly prohibited from:

  • Submitting false, fictitious, or manipulated price data.
  • Using automated bulk scraping, crawling, or copying technologies to harvest data from the Platform.
  • Posting fraudulent listings or engaging in spamming or phishing activities against other users.
  • Attempting to interfere with the integrity or operation of the account management system, including the membership approval process.

7. Limitation of Liability and Indemnity

7.1 Limitation of Liability

The Platform and its services are provided on an “as-is” and “as-available” basis. Mukunda Software Inc. (and its officers, directors, employees, and agents) shall not be liable to you or any other party for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including damages resulting from:

  • Any price dispute, trade failure, quality issue, or delivery problem arising from transactions between users.
  • The reliance on any data, including price data, found on the Platform.
  • Any interruption or cessation of service, including those related to maintenance or technical failures.
  • Loss of campaign credits, or delays in membership activation, resulting from payment processing issues outside of our immediate control (e.g., GPay/UPI network delays).

In no event shall Mukunda Software Inc.’s total aggregate liability exceed the total amount you paid to Mukunda Software Inc. for Premium Services in the twelve (12) months preceding the claim.

7.2 Indemnity

You agree to protect, defend, indemnify and hold harmless Mukunda Software Inc. and its affiliates from and against any and all claims, demands, costs, expenses, losses, liabilities, and damages arising from: (i) your violation of these Terms; (ii) any content you post; and/or (iii) any trade dispute or transaction you enter into with another user of the Platform.

8. Content Usage and Ownership

The content of the Platform, including design, code, logos, and brand assets, is owned by Mukunda Software Inc. User Content (listings, prices, company profiles) is owned by the user, but by submitting it, you grant Mukunda Software Inc. a worldwide, royalty-free, perpetual license to publish, display, and promote that content across the Platform and its related promotional channels.

9. Suspension, Termination, and Discontinued Services

9.1 Right to Terminate

We reserve the right to suspend or permanently terminate your account and access to the Platform at our sole discretion, immediately and without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or if your continued use poses a risk to the Platform or other users.

9.2 Data Removal

If your account is terminated, we reserve the right to remove and destroy any data and files associated with your account on our servers. No refund will be provided for any remaining paid membership term or unused campaign credits upon termination for cause.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

You and Mukunda Software Inc. agree that any legal controversy or claim arising out of or relating to these Terms or the services provided by AlPrice.in shall be filed and adjudicated exclusively in the Courts of competent jurisdiction located in Delhi or New Delhi, India. You irrevocably consent and submit to the exclusive jurisdiction of these courts.

11. Updates to Terms and Contact Information

We may revise these Terms and Conditions from time to time, and the revised version will be effective upon posting. Your continued use of the Platform will be treated as acceptance of the updated version.
